Terms of Service
These Terms of Use constitute a legal agreement between you and Stellium Networks Inc d.b.a. City QR Code ("CQRC", "STI").

The CQRC Web Site is comprised of http://cityqrcode.com and http://ctqr.us and their constituent web pages and various other web sites, URLs and Web pages operated by STI.

The CQRC Web Site, is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the CQRC Web Site and any such Services constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

STI reserves the right to change the terms, conditions, rules and regulations applying to and notices under which the Services and the CQRC Web Site are offered, including but not limited to the charges associated with the use of them. All changes shall be effective and deemed accepted by all users upon posting of such changes on the CQRC Web Site. That version of these Terms of Use will then apply to all use by you following the date of publication. Each access of information from the CQRC Web Site and the Services will be a separate, discrete transaction based on the then prevailing terms. These Terms of Use and the license granted by it may not be assigned or sublet by you without STI's advance written consent.

SUBSCRIPTION TERMS

STI's service are generally offered as monthly subscription services. Monthly subscriptions are offered as an unpaid subscription to edit all the information in their account but without the use of the QR code features. Unpaid subscriptions will appear with advertising on all pages. Paid subscribers have full access to edit their listing as well as use the QR code features. Paid subscriptions will not have advertising appear on their listings. From time to time, STI may offer subscribers and users the right to subscribe to a program, product or service for a period of longer than one month, often at a discounted rate (The "Periodic Rate"). Each user agrees to pay to STI a monthly subscription fee or an agreed upon Periodic Rate, in advance, via Pay Pal, Google Checkout, credit card or other method from time to time established by STI, for each month's or other periodic use of the product, service or program selected and/or access to the CQRC Web Site. Each user authorizes STI to automatically debit the payment source or mechanism associated with his or her Paid subscriber account for each monthly subscription fee or the Periodic Rate agreed upon by them. Monthly subscription fees and Periodic Rates are not refundable for any reason, except as expressly provided from time to time on the CQRC Web Site, under STI's then applicable and published termination, refund and cancellation policies. Automatic debits shall continue unless the user terminates the subscription in accordance with the terms and conditions for proper cancellation or to support@cityqrcode.com and otherwise comply with the then published policy for refunds or cancellations.

LINKS TO THIRD PARTY SITES

The CQRC Web Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of AWKS and AWKS is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. AWKS is not responsible for webcasting or any other form of transmission received from any Linked Site. AWKS is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by AWKS of the site or any association with its operators.

EMAIL SUBSCRIPTIONS

Each retail website has the ability to capture the email addresses of the end consumers that are directly interacting with each retail member through the mobile ctqr.us website. AWKS provides no warranty or protection against misuse or spam for the end consumer's email address.

End consumers are urged to use caution before signing up for any email subscription unless they know what they are signing up for.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the CQRC Web Site, you warrant to AWKS that you will not use the CQRC Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the CQRC Web Site in any manner which could damage, disable, overburden, or impair the CQRC Web Site or interfere with any other party's use and enjoyment of the CQRC Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the CQRC Web Sites.

USE OF COMMUNICATION SERVICES

The CQRC Web Site may contain bulletin board services, blogs, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
  • Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
  • Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
  • Conduct or forward surveys, contests, pyramid schemes or chain letters.
  • Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
  • Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
  • Restrict or inhibit any other user from using and enjoying the Communication Services.
  • Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
  • Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
  • Violate any applicable laws or regulations.
